Bauswip Limited — governing use of www.bauswip.com, the Focuswip Platform (www.focuswip.com), and the Wazabot Platform (www.wazabot.com)
PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING ANY OF OUR SITES. THESE TERMS CONTAIN AN AGREEMENT TO RESOLVE DISPUTES BY ARBITRATION IN LAGOS, NIGERIA (SECTION 21) AND LIMIT OUR LIABILITY TO YOU (SECTION 19). BY ACCESSING OR USING ANY OF OUR SITES, CREATING AN ACCOUNT, OR CLICKING “I AGREE,” YOU CONFIRM THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS.
These Terms of Use (“Terms”) are a binding legal agreement between you (“you,” “your,” or “User”) and Bauswip Limited, a company incorporated under the Companies and Allied Matters Act 2020 (CAMA) with its registered office in Lagos, Nigeria (“Bauswip,” “we,” “us,” or “our”).
These Terms govern three properties operated by Bauswip, referred to together as “our Sites”:
- www.bauswip.com (the “Site”) — our corporate and marketing website, describing our agency services, products, and content, and through which visitors may submit enquiries, request a demo or AI audit, reserve a workshop seat, or contact us;
- Focuswip (a “Platform”) — a role-based workforce shift-scheduling platform available at www.focuswip.com; and
- Wazabot (a “Platform”) — a WhatsApp-based AI customer support platform for businesses, available at www.wazabot.com.
These Terms apply to the Site and to both Platforms, and to Users anywhere in the world, subject to Section 16 (International Use). Where a provision applies to only one of our Sites, that is stated expressly, including in Section 5 (The Site) and the product-specific Schedules in Section 6. If you use more than one of our Sites, these Terms govern your use of each independently.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE ANY OF OUR SITES.
1. Definitions
- “Account” means the registered user profile or business/organisation profile created to access a Platform. The Site does not require an Account.
- “Authorised User” means an individual you permit to access a Platform under your Account (e.g. an employee, agent, or team member).
- “Customer Data” means any data, content, or information that you or your Authorised Users submit to, or generate through, a Platform, including business records, scheduling data, staff information, knowledge-base content, and messages exchanged with End Customers.
- “End Customer” means a person who interacts with your business through Wazabot (for example, a customer messaging your business on WhatsApp).
- “Inbound Submission” means any information you submit to us through a form on the Site, including a contact form, demo request, AI audit request, or workshop registration
- “NDPA” means the Nigeria Data Protection Act 2023 and its subsidiary regulations.
- “NDPC” means the Nigeria Data Protection Commission.
- “Services” means the Site, the Focuswip Platform, the Wazabot Platform, associated mobile or web applications, APIs, documentation, and support that Bauswip makes available under these Terms.
- “Subscription Plan” means the pricing tier and usage limits applicable to your Platform Account, as set out at checkout, in an order form, or in a separately signed agreement.
2. Eligibility and Age Restriction
2.1 Minimum age. Our Sites are intended solely for use by individuals who are 18 years of age or older.
By accessing or using any of our Sites, you represent and warrant that you are at least 18 years old (or, if the age of majority in your jurisdiction is higher than 18, that you meet that higher age) and that you have the legal capacity to enter into a binding contract. We do not knowingly permit anyone under 18 to submit an Inbound Submission, create an Account, or otherwise use our Sites, and we may disregard any submission or terminate any Account we reasonably believe belongs to a person under 18.
2.2 Business use. The Site and our Platforms are business tools.
If you contact us, submit an Inbound Submission, or create an Account on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” in these Terms refers to that entity as well as to you personally.
2.3 Restricted jurisdictions. You may not use our Sites if doing so would violate any applicable export control, sanctions, or anti-money-laundering law, including laws administered by the Central Bank of Nigeria, the Nigerian Financial Intelligence Unit, the U.S. Office of Foreign Assets Control (OFAC), the UK, or the European Union.
3. Accounts
- This Section 3 applies to Accounts on the Focuswip and Wazabot Platforms. You must provide accurate, current, and complete information when creating an Account and must keep that information up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account, whether or not you authorised it, except to the extent caused by our breach of these Terms.
- You must notify us immediately at the contact details in Section 26 if you suspect unauthorised access to your Account.
- Where you add Authorised Users to your Account (for example, staff members on Focuswip, or agents managing Wazabot conversations), you are responsible for their compliance with these Terms and for any acts or omissions of those Authorised Users.
4. Overview of the Platforms
4.1 Focuswip
Focuswip is a multi-tenant shift-scheduling platform with three user roles — Super Admin, Admin, and User — that allows organisations to build, publish, and manage staff schedules. Access levels and permitted actions depend on the role assigned to each Authorised User by your organisation’s administrator(s). Bauswip is not responsible for how your organisation assigns roles or for scheduling decisions made using the Platform.
4.2 Wazabot
Wazabot is an AI-powered customer support agent that connects to a business’s WhatsApp Business number (via the WhatsApp Cloud API operated by Meta Platforms, Inc.) and responds to End Customer enquiries using an AI model (currently Anthropic’s Claude) grounded in knowledge-base content that you provide. By connecting a WhatsApp Business number to Wazabot, you represent that you are authorised to do so and that your use of WhatsApp complies with Meta’s WhatsApp Business Messaging Policy and Terms of Service, which apply in addition to these Terms.
You are solely responsible for the accuracy and lawfulness of the knowledge-base content you provide to Wazabot, and for ensuring you have any consents required from End Customers to receive automated messages, in line with applicable data protection and consumer protection law in your End Customers’ jurisdiction(s).
5. The Site (www.bauswip.com)
5.1 Purpose.
The Site is Bauswip’s corporate and marketing website. It describes our AI agent development, automation, custom software development, and AI training services, showcases Focuswip and Wazabot, and provides business information (including our “Why AI, Why Now,” “The Bauswip Edge,” “What We Build,” and “About Bauswip” content), case studies, and client references.
5.2 Personal, informational use of Site content.
The Site and its content (including text, graphics, logos, case studies, and workshop materials) may be accessed for your own personal or internal business evaluation of Bauswip’s services. You may not copy, reproduce, republish, scrape, data-mine, or redistribute Site content for commercial purposes without our prior written consent, and you may not frame any portion of the Site within another website.
5.3 Accuracy of Site content.
We use reasonable efforts to keep information on the Site accurate and current, including pricing indications, service descriptions, and case study outcomes, but we do not warrant its completeness or accuracy, and it should not be relied on as a substitute for the specific terms of a signed proposal, Statement of Work, or order form.
5.4 Client names, logos, and testimonials.
Client and partner names, logos, and testimonials (including in a “Trusted By” or similar section) are used with the applicable client’s permission to indicate a business relationship or reported outcome; they do not imply that client’s endorsement of every Bauswip service, and remain the property of their respective owners.
5.5 Inbound Submissions and forms.
The Site includes forms through which you may make an Inbound Submission — for example, the Contact Form, “Book a Free AI Audit,” “Book a Demo,” “Request Access,” or “Reserve a Seat” (workshop registration) calls to action. By making an Inbound Submission, you consent to Bauswip contacting you at the details you provide to follow up on your enquiry.
- An Inbound Submission is an enquiry, not an order. It does not, by itself, create a contract for paid services between you and Bauswip.
- Paid engagements — including custom software development, AI agent development, AI training/workshops delivered to your organisation, and Focuswip or Wazabot subscriptions — are governed by a separately issued proposal, Statement of Work, order form, or (for the Platforms) these Terms together with your Subscription Plan, as applicable. Where the terms of a signed Statement of Work conflict with these Terms, the Statement of Work governs for that engagement.
- Registering for a free workshop (e.g. the “Free AI Implementation Workshop”) reserves a seat on a best-efforts basis; we may reschedule, change the format, or limit attendance, and will notify you of material changes where reasonably possible.
5.6 Blog, insights, and educational content.
Any articles, guides, or educational content we publish on the Site are provided for general informational purposes only, do not constitute legal, tax, financial, or professional advice, and should not be relied upon as such.
5.7 Links to external sites.
The Site may link to third-party websites that are not owned or controlled by Bauswip. We are not responsible for the content, accuracy, or privacy practices of such external sites, and including a link does not imply our endorsement of it.
6. Product-Specific Terms
Schedule A — Focuswip
- Scheduling data you input (shift patterns, staff names, contact details, availability) remains your Customer Data. You are responsible for its accuracy.
- You are responsible for complying with applicable labour law in the jurisdiction(s) where your staff are located in how you use Focuswip to schedule them. Focuswip is a scheduling tool; it does not provide legal or HR advice.
- Super Admin and Admin roles carry elevated permissions. You are responsible for restricting these roles to appropriate personnel within your organisation.
Schedule B — Wazabot
- Wazabot generates AI responses based on the knowledge base and conversation context. See Section 9 (AI-Generated Content) for important limitations.
- Where Wazabot connects to your WhatsApp Business number, you remain the account holder with Meta and are responsible for maintaining that connection, including any fees, verification requirements, or policy changes imposed by Meta.
- Conversation data between your business and your End Customers is processed by Bauswip as a data processor on your behalf, as described in Section 14 (Privacy) and in our Privacy Policy.
7. Subscription Fees and Payment
- This Section 7 applies to paid Subscription Plans on the Focuswip and Wazabot Platforms. Fees for custom engagements booked through the Site (such as custom software development or AI training workshops) are set out in the applicable Statement of Work or order form and are not governed by this Section.
- Applicable Platform fees, billing frequency, and currency will be presented to you at the point of purchase or in your order form. Fees for Nigerian customers are typically billed in Nigerian Naira (₦); fees for international customers may be billed in US Dollars, British Pounds, or Euros, as made available.
- Fees are exclusive of Value Added Tax (VAT) and any other applicable taxes, duties, or levies unless stated otherwise. Where required, we will add Nigerian VAT to invoices for Nigerian customers. For customers outside Nigeria, you are responsible for determining and, where required by your local law, self-accounting for any local taxes (such as VAT, GST, or withholding tax) that apply to your purchase.
- Payments are processed through third-party payment processors (such as Paystack, or an equivalent processor used for international billing) or by direct bank transfer. Bauswip does not store your full card details; payment processing is governed by the applicable processor’s own terms and privacy policy.
- Unless otherwise agreed in writing, Platform fees are billed in advance and are non-refundable, except where required by applicable consumer protection law in your jurisdiction.
- We may suspend or downgrade your Account if payment is not received when due, following reasonable notice to you.
- We may change our Platform fees on renewal by giving you at least 30 days’ notice. Continued use of the Platform after a fee change takes effect constitutes acceptance of the new fees.
8. Acceptable Use
You agree not to, and (where applicable) not to permit any Authorised User or End Customer interaction facilitated through your Account to:
- use any of our Sites for any unlawful purpose or in violation of any applicable law, including the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended) or equivalent laws in your jurisdiction;
- upload, transmit, or generate content (including via an Inbound Submission) that is defamatory, harassing, obscene, hateful, or infringes the intellectual property, privacy, or other rights of any third party;
- attempt to gain unauthorised access to any of our Sites, other Accounts, or the systems or networks connected to them;
- introduce viruses, malware, or other harmful code, or use automated means (bots, scrapers) to access our Sites except through our published APIs;
- reverse-engineer, decompile, or attempt to extract the source code of the Site or Platforms, except to the extent this restriction is prohibited by applicable law;
- resell, sublicense, or provide a Platform to third parties as a bureau or managed service without our prior written consent;
- use Wazabot to send unsolicited bulk messages or spam, or in any way that violates Meta’s WhatsApp Business Messaging Policy or applicable data protection and anti-spam law (including the NDPA, GDPR/UK PECR, or the U.S. CAN-SPAM Act, as applicable); or
- use any of our Sites to process special category or sensitive personal data (health, biometric, or similarly sensitive personal data, as defined under applicable law) unless you have obtained the lawful basis and consents required and have notified us in advance.
We may investigate suspected violations and may suspend or terminate access without notice where we reasonably believe a violation poses a risk to our Sites, other users, or third parties.
9. AI-Generated Content
9.1 No guarantee of accuracy.
Wazabot uses third-party artificial intelligence models to generate responses to End Customer enquiries. AI-generated content may be inaccurate, incomplete, or inappropriate in context. Bauswip does not warrant the accuracy, completeness, or reliability of any AI-generated output.
9.2 Your responsibility.
You are responsible for reviewing and configuring the knowledge base and guardrails made available to you, for monitoring conversations where appropriate, and for ensuring that AI-generated responses sent to your End Customers are appropriate for your business. You should not rely on Wazabot for information where inaccurate responses could cause harm (for example, medical, legal, financial, or safety-critical advice) without human review.
9.3 Third-party AI provider.
AI responses are generated using Anthropic’s Claude models, accessed via Anthropic’s API. Your Customer Data submitted for the purpose of generating a response may be transmitted to Anthropic strictly for that purpose, subject to Anthropic’s own terms and the safeguards described in our Privacy Policy. Anthropic does not use API inputs or outputs to train its models by default.
10. Third-Party Services and Integrations
Our Sites rely on and may integrate with third-party service providers, including but not limited to:
- Meta Platforms, Inc. — WhatsApp Cloud API (Wazabot messaging infrastructure);
- Anthropic PBC — Claude AI models (Wazabot AI responses);
- Supabase, Inc. — database, authentication, and vector-search infrastructure;
- Vercel Inc. — application and website hosting;
- Paystack, and equivalent international payment processors — payment processing; and
- An email marketing/CRM platform (such as Groundhogg or a similar provider) — handling Inbound Submissions, workshop registrations, and service and marketing communications.
Your use of features that rely on these providers is also subject to each provider’s own terms of service and privacy policy. Bauswip is not responsible for outages, policy changes, or acts or omissions of third-party providers, though we will use reasonable efforts to notify you of material changes that affect the Services.
11. Intellectual Property
11.1 Our IP.
The Site, the Platforms, and all associated software, design, text, graphics, logos, case studies, workshop materials, and underlying technology (excluding Customer Data and third-party materials) are owned by Bauswip or its licensors and are protected by Nigerian and international intellectual property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our Sites for your personal evaluation or internal business purposes, as applicable.
11.2 Your Customer Data.
As between you and Bauswip, you retain all rights, title, and interest in your Customer Data. You grant Bauswip a limited licence to host, process, and transmit your Customer Data solely as necessary to provide, maintain, and improve the Services, and as described in our Privacy Policy. We do not claim ownership of your Customer Data and will not use it to train third-party AI models beyond what is required to generate a response to a specific query, except with your explicit consent.
11.3 Feedback.
If you provide suggestions, feedback, or ideas about the Site or Platforms, you grant Bauswip a perpetual, royalty-free licence to use that feedback without obligation to you.
12. Confidentiality
Each party agrees to protect the other’s confidential information disclosed in connection with these Terms using at least the same degree of care it uses to protect its own confidential information of similar importance, and not to disclose it to third parties except as required to perform its obligations, as required by law, or as otherwise permitted under these Terms.
13. Customer Data Responsibilities
Where your Customer Data includes personal data of your Authorised Users, employees, or End Customers, you are responsible for ensuring you have a lawful basis under applicable data protection law (including the NDPA, GDPR, or other law that applies to that individual) to collect that personal data and to share it with Bauswip for processing through the Platforms. Where required by applicable law, Bauswip will enter into a data processing agreement with business customers processing personal data at scale through the Platforms, including UK/EU standard contractual clauses where relevant; contact us at the details in Section 26 to request one.
14. Privacy
Our collection, use, and disclosure of personal data in connection with our Sites — including Inbound Submissions made through the Site — is described in our Privacy Policy, which is incorporated into these Terms by reference and available at bauswip.com/privacy, focuswip.com/privacy, and wazabot.com/privacy. By using any of our Sites, you acknowledge that you have read and understood our Privacy Policy.
15. Marketing Communications
If you provide your email address to us — including through an Inbound Submission on the Site — we may send you communications relevant to your enquiry, and, where you have opted in or as otherwise permitted by applicable law, marketing communications about our products, services, and updates through our email marketing/CRM platform. You may unsubscribe from marketing communications at any time using the link in those emails or by contacting us, as further described in our Privacy Policy.
16. International Use
Our Sites are controlled and operated by Bauswip from Nigeria. We make no representation that our Sites are appropriate, legally permitted, or available for use in every jurisdiction. If you access our Sites from outside Nigeria, you do so on your own initiative and are responsible for compliance with local laws applicable to your use, including any import, export, tax, or data protection requirements in your jurisdiction.
If you are an individual consumer located in the United Kingdom, the European Union/EEA, or another jurisdiction that grants you mandatory statutory protections which cannot be waived or limited by contract, nothing in these Terms is intended to override those protections; where a provision of these Terms conflicts with such a mandatory protection, the mandatory protection will apply to the extent required by that law. This Section 16 does not otherwise expand the rights of business (B2B) customers or visitors, for whom our Sites are principally designed.
17. Term and Termination
- These Terms remain in effect for as long as you access or use any of our Sites, or maintain a Platform Account.
- You may terminate a Platform Account at any time by following the cancellation process in your Account settings or by contacting us. You may simply stop using the Site at any time.
- We may suspend or terminate your access to any of our Sites, with or without notice, if you materially breach these Terms, if required by law, or if we reasonably believe your use poses a risk to our Sites, other users, or third parties.
- On termination of a Platform Account, your right to access that Platform ceases immediately. We will handle any Customer Data retained after termination in accordance with our Privacy Policy and applicable law, including reasonable data-export assistance where feasible and requested before termination.
- Sections 9, 11, 12, 14, 18, 19, 20, and 21 survive termination of these Terms.
18. Disclaimers
OUR SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT OUR SITES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED CONTENT, AS FURTHER DESCRIBED IN SECTION 9, NOR OF ANY SITE CONTENT, AS FURTHER DESCRIBED IN SECTION 5.3.
19. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BAUSWIP AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, ANY OF OUR SITES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SUBJECT TO THE ABOVE, BAUSWIP’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SITES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO BAUSWIP IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) THE EQUIVALENT OF ₦50,000 IN THE CURRENCY YOU WERE BILLED IN. WHERE YOU HAVE NOT PAID US ANY FEES (FOR EXAMPLE, WHERE YOUR CLAIM RELATES SOLELY TO YOUR USE OF THE SITE), OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE EQUIVALENT OF ₦50,000.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.
20. Indemnification
You agree to indemnify and hold Bauswip, its directors, employees, and agents harmless from any claims, damages, liabilities, and reasonable legal costs arising out of: (a) your breach of these Terms; (b) your Customer Data, Inbound Submission, or use of our Sites in violation of applicable law; or (c) your violation of the rights of a third party, including an End Customer or Authorised User.
21. Governing Law and Dispute Resolution
21.1 Governing law.
These Terms are governed by, and shall be construed in accordance with, the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law principles, regardless of where you are located. Section 16 (International Use) explains how this interacts with mandatory local consumer protections that may apply to you.
21.2 Good-faith resolution.
Before commencing formal proceedings, the parties agree to attempt in good faith to resolve any dispute through negotiation between senior representatives within 30 days of a written notice describing the dispute.
21.3 Arbitration.
Any dispute arising out of or relating to these Terms or your use of our Sites that is not resolved under Section 21.2 shall be referred to and finally resolved by arbitration in Lagos, Nigeria, under the Arbitration and Mediation Act 2023, before a sole arbitrator appointed by agreement of the parties or, failing agreement, by the Lagos Court of Arbitration. The seat of arbitration shall be Lagos, Nigeria, and proceedings shall be conducted in English, regardless of your location. This clause does not prevent either party from seeking urgent injunctive relief from a court of competent jurisdiction in Lagos State to protect its intellectual property or confidential information.
21.4 Courts.
Subject to Section 21.3, the courts of Lagos State, Nigeria shall have exclusive jurisdiction over any matter not subject to arbitration.
22. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including power or internet infrastructure failures, acts of government, natural disasters, or failures of third-party providers such as Meta, Anthropic, or Supabase.
23. Changes to These Terms
We may revise these Terms from time to time. Where changes are material, we will provide reasonable notice (for example, by email, an in-app notice, or a notice on the Site) before the changes take effect. Your continued use of any of our Sites after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using our Sites.
24. Relationship to Statements of Work and Other Signed Agreements
These Terms govern your use of our Sites generally. Where you engage Bauswip for a specific paid project or service — such as custom software development, AI agent development, or an in-person or virtual AI training engagement — the specific scope, fees, deliverables, and timeline for that engagement will be set out in a separately signed proposal, Statement of Work, or order form, which will govern that engagement. In the event of a conflict between these Terms and a signed Statement of Work for a specific engagement, the Statement of Work controls for matters it expressly addresses; these Terms continue to govern your general use of our Sites.
25. General Provisions
- Entire agreement. These Terms, together with our Privacy Policy and any order form, Statement of Work, or data processing agreement entered into between you and Bauswip, constitute the entire agreement between you and Bauswip regarding our Sites.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Bauswip.
- Notices. Notices to Bauswip should be sent to the contact details in Section 26. Notices to you may be sent to the email address or contact details associated with your Account or Inbound Submission.
